Welcome to the Web site at www.CoachesofExcellence.com ("Site") which is owned by Coaches of Excellence Institute, Inc., a Colorado non-profit organization with 501(c)(3) recognition from the IRS (“COE”). This Site is operated by COE, and materials on the Site are owned, for the most part, by COE. The Site may also include materials owned by third parties and posted on the Site by virtue of a license, grant or some other form of agreement between the third-party and COE.

COE has created this Site for your personal enjoyment, entertainment and education. However, you are only authorized to access this Site or to use the materials contained in the Site (regardless of whether your access or use is intended) if you agree to abide by all applicable laws, and to these Terms of Use which constitute an Agreement between you and COE. Please read these Terms of Use carefully and save them. If you do not agree with them, you should leave this Site immediately. Privacy/Confidentiality Policy:

We extend the following information to assure you, our guest, that we are concerned about and respect your privacy while visiting our Site. COE will never sell, lease or rent your confidential information. However, if it is necessary, we will share information for legal reasons. We will always endeavor to take steps to assure that any information you provide to us will remain secure. We want you to feel safe in your online experience while visiting our site. We therefore request that you take a moment to review the following valuable information.

Collection of Information:

COE does not collect personal information without your knowledge during your visit to our Site. However, COE does at times ask that you provide us with personal information while online. The type of information we collect typically, but not always, corresponds directly with the service you request. For instance, you can make donations, when requested you can offer your thoughts, opinions, prayers, concerns, ideas, personal experiences, questions and/or suggestions to our resources, contests, or seminars, or you can request that a resource be sent to you directly from our Programs or Store Tabs. As a visitor, the personal information you provide may also be used to improve the usability of, and information available on, our sites. In other words, at times we will ask you for more information, beyond just your name and contact information, than is needed to facilitate our response to your specific request. Your provision of such additional information is your acknowledgment that you consent to our use of such information to better serve you, our visitor, and others coming to our sites.
COE will not sell, lease or rent its mailing list or any of your confidential information to any outside organization or individual. However, we may need to disclose personal information as required by law, such as a law, regulation, court order, subpoena, search warrant, in the course of a legal proceeding or in response to a law enforcement agency request, to enforce our Terms of Use, or site rules; or to protect the safety and security of our visitors and our sites.

Security:

Our Site's e-commerce system is through another Web site known as www.shoppincartgurus.com that uses SSL encryption to protect sensitive data transmissions from your computer to their Web site. You are able to see when the SSL encryption is active either by the "padlock" icon at the bottom of your browser's window or by the inclusion of the letter “s” in the URL line in the upper left hand corner of your browser so that it reads “https” instead of just “http.” In certain areas, password protection is used to protect your privacy and security.

COE reserves the right to make changes to this privacy policy at any time and requests that you review this policy for updates.

Additional Information About Our Programs & Store Tabs:

Cookies: A small piece of data that a website can store on your system is referred to as a "cookie." Cookies are often used to enhance your online experience. Many browsers recognize when a cookie has been sent to your computer and will give you the option to refuse or allow it. Within the Online Resource Center, we use two different cookies. Below are details regarding how these two cookies are used by our Site. Please be aware that we do not use cookies to track a user's navigation through our Site.

Account Registration: When you request a resource we require that you provide us certain information that allows us to complete your transaction. This information is used to create a unique account within our Q&A Forum subsection under Programs Tab. Following account registration, a "cookie" is used to automatically identify you as a registered user when you are browsing the Forum (you have the option of declining this cookie during account registration if desired).

Shopping Cart Identification: The Shopping Cart Identification "cookie" allows the Store Tab to connect you to your active shopping cart. This cookie is set to expire whenever you exit your current browser session.

We have taken every effort to design our Site to be useful, informative, helpful, honest and fun. Hopefully we've accomplished that — and would ask that you let us know if you'd like to see improvements or changes that would make it even easier for you to find the information you need and want.

Restrictions on Use of Our Online Materials:

All materials contained in the COE Site ("Online Material") are the copyrighted property of COE. All trademarks, service marks, and trade names are proprietary to COE. No Online Material from our Site may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way, except that you may download one copy of the materials on any single computer for your personal, noncommercial home use only, provided that you 1) retain all copyright, trademark and propriety notices, 2) you make no modifications to the materials, 3) you do not use the materials in a manner that suggests an association with any of our products, services, events or brands, and 4) you do not download quantities of materials to a database, server, or personal computer for reuse for commercial purposes. You may not, however, copy, reproduce, republish, upload, post, transmit or distribute our Online Material in any way or for any other purpose unless you get our written permission first. Everything you download, any software, plus all files, all images incorporated in or generated by the software, and all data accompanying it, is considered licensed to you by COE or third-party licensors for your personal, non-commercial home use only. We do not transfer title of the software to you. That means that we retain full and complete title to the software and to all of the associated intellectual-property rights. You're not allowed to redistribute or sell the material or to reverse-engineer, disassemble or otherwise convert it to any other form that people can use.

Submitting Your Online Material to Us:

All remarks, suggestions, ideas, graphics, comments, or other information that you send to COE through our sites (other than information we promise to protect under our Privacy/Confidentiality Policy), becomes and remains our property, even if this agreement is later terminated.

That means that we don't have to treat any such submission as confidential. You can't sue us for using ideas you submit. If we use them, or anything like them, we don't have to pay you or anyone else for them. We will have the exclusive ownership of all present and future rights to submissions of any kind. We can use them for any purpose we deem appropriate to our COE mission, without compensating you or anyone else for them.

You acknowledge that you are responsible for any submission you make. This means that you (and not we) have full responsibility for the message, including its legality, reliability, appropriateness, originality, and copyright.

Bulletin Boards, Chat Rooms & Blogs:

You are welcome to post, transmit or submit messages and other materials (which include uploading files, inputting data or any other materials or engaging in any form of communication in connection with this Site) (collectively "Messages") to bulletin boards, chat rooms, blogs or other public areas within, or in connection with, this site (collectively "Forums"). However, COE accepts no responsibility whatsoever in connection with or arising from such Messages.

COE does not endorse and has no control over the content of Messages submitted by others to Forums. Messages submitted to Forums are not necessarily reviewed by COE prior to posting and do not necessarily reflect the opinions or policies of COE. COE makes no warranties, express or implied, as to the content of the Messages in the Forums or the accuracy and reliability of any Messages and other materials in the Forums. Nonetheless, COE reserves the right to prevent you from submitting Materials to Forums and to edit, restrict or remove such Messages for any reason at any time.

COE assumes no responsibility for actively monitoring Forums for inappropriate Messages. If at any time COE chooses, in its sole discretion, to monitor the Forums, COE nonetheless assumes no responsibility for the content of the Messages, no obligation to modify or remove any inappropriate Messages, and no responsibility for the conduct of the user submitting any Message. In submitting Messages to Forums, you agree to strictly limit yourself to discussions about the subject matter for which the Forums are intended. You agree that COE accepts no liability whatsoever if it determines to prevent your Messages from being submitted or if it edits, restricts or removes your Messages. contain any virus or other harmful component;

You agree that any Message whatsoever submitted by you becomes the property of COE and may be used, copied, sublicensed, adapted, edited, transmitted, distributed, publicly performed, published, displayed or deleted as COE sees fit.

You agree to release COE, its parents and affiliates together with their respective employees, agents, officers, directors and shareholders, from any and all liability and obligations whatsoever in connection with or arising from your use of Forums. If at any time you are not happy with the Forums or object to any material within Forums, your sole remedy is to cease using them.

Disclaimer of Liability and Warranties & Limitations of Liability, if any:

While COE does its best to ensure the optimal performance of the Site, you agree that you use this Site and rely on material contained in this Site at your own risk.

The Site, and all materials in this Site, are provided "as is" and, to the fullest extent permitted by law, are provided without warranties of any kind either express or implied. This means, without limitation, that COE DOES NOT WARRANT that the Site is fit for any particular purpose; that the functions contained in the materials in the Site will be uninterrupted; that defects will be corrected; that the Site is free of viruses and other harmful components or that the Site is accurate, error free or reliable.

You acknowledge that COE is not liable for any damages, including, without limitation, direct, incidental, special, and consequential or punitive damages, in connection with or arising from your use or from your inability to use the Site.

Monitoring Online Postings:

COE shall have the right to monitor and review the content of any discussions, chats, forums, postings, transmissions and bulletin boards, although COE is not under legal obligation to do so. As a Christian organization we uphold specific foundational beliefs. We expect visitors to our site, and anyone using our communication tools to adhere to a sense of decency and decorum that we deem appropriate. We are the sole authority on questions of appropriateness. Naturally, COE assumes no responsibility or liability arising from the content of an online posting. However, we do specifically prohibit you or any visitor from posting or transmitting any unlawful, threatening, libelous, obscene, scandalous, inflammatory, pornographic, or profane material or any material that could constitute or encourage what could be considered a criminal offense, give rise to civil liability or otherwise violate any law. COE will fully cooperate with authorities or court orders requesting details of criminal postings. COE shall have the right in its sole discretion to edit, refuse to post or remove any material submitted to or posted on any COE Site. COE shall have the right to remove any material that it determines to be in violation of these provisions or otherwise objectionable.

In addition, children 12 and under are not authorized to post messages or participate in Forums on any COE Site unless the site has been specifically designed for them and all appropriate parental notification and approval devices have been complied with fully. Indemnity:

You agree to defend, indemnify and hold harmless COE, its affiliates together with their respective employees, agents, directors, officers and shareholders, from and against all the liabilities, claims, damages and expenses (including reasonable attorney's fees and costs) arising out of your use of this site, your breach or alleged breach of this agreement or your breach or alleged breach of the copyright, trademark, proprietary or other rights of third parties.

Termination of This Agreement:

This agreement is effective until terminated by either party. You may terminate this agreement at any time, by destroying all materials obtained from COE’s Web site, along with all related documentation and all copies and installations. COE may terminate this agreement at any time and without notice to you, if, in its sole judgment, you breach any term or condition of this agreement. Upon termination, you must destroy all materials. In addition, by providing material on our Site, we do not in any way promise that the materials will remain available to you. And COE is entitled to terminate all or any part of any of its Site without notice to you.

Jurisdiction and Other Points to Consider:

Unless otherwise specified, the Online Materials on our site are presented to provide information about the resources of COE. The ministry of COE was organized under the laws of Colorado, in the United States of America. If you use our site from locations outside of the United States, you are responsible for compliance with any applicable local laws. These Terms of Use, and the agreement they create, shall be governed by and interpreted according to the laws of the State of Colorado (without applying the state's conflict-of-law principles.) If any provision of this agreement is unlawful, void or unenforceable, it will not affect the validity and enforceability of any remaining provisions. COE may modify these Terms of Use, and the agreement they create, at any time, simply by updating this posting and without notice to you.

NOTICE AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT
COE will process notices of alleged infringement which it receives and will take appropriate actions as required by the Digital Millennium Copyright Act (the "DMCA") and other applicable intellectual property laws. Pursuant to the DMCA, notifications of claimed copyright infringement should be sent to COE's Designated Agent.
